Our Board of Directors, the highest governance body at our company, has five standing committees to assist with oversight responsibilities: Finance, Audit, Innovation & Technology, Compensation & Organization and Nominating & Governance. Our management team and Board of Directors work together to engage with and oversee environmental, social and governance (ESG) topics, as well as related risks and opportunities, including climate change and human rights. The Board’s Nominating & Governance Committee oversees our company’s ESG-related policies, practices, performance, reporting and goals. In consultation with the Nominating & Governance Committee, the Innovation and Technology Committee is responsible for our company’s product-related ESG policies and practices. The chair of the Nominating & Governance Committee serves as the primary ESG liaison between management and the Board of Directors, and, with the support of management, briefs the Board on sustainability strategy development, setting and managing climate-related targets and measuring and managing our company’s greenhouse gas (GHG) inventory. Our commitment to high-quality products is unwavering, and we are supported by supply chain partners that are also dedicated to quality, safety, security and the rights of its workforce. Our commitment to Human Rights is exemplified by our audit program, run by our quality group both here and abroad. To reinforce this commitment to our suppliers, we will be issuing a Supplier Code of Conduct and implementing a third-party audit program to support it, in the fall of 2022. Our Corporate Compliance team uses an enterprise-wide, risk-based approach to identify and prioritize compliance objectives across our business. This team, which operates within and with our Legal Department, focuses on integrating compliance objectives into our business processes for a variety of topics, including product and pesticide compliance, cybersecurity, enterprise risk management and anti-corruption. As the industry leader in lawn and garden products, we have a clear responsibility: to provide consumers with effective pest control products that are easy to use and safe when used as directed. It is a role that we embrace and take seriously. Carrying out this responsibility requires us to advocate in support of a scientifically-based regulatory system, provide effective consumer education through communication tools across multiple mediums and product labeling, and commit to an innovation process that always seeks a better solution.
